3. Payments
3.1 Payment terms will be outlined in the official quotation or invoice provided by the Company.
3.2 All payments must be made in full within the specified timeline to avoid service disruption or additional fees.
3.3 Late payments may incur penalties as outlined in the invoice or agreement.
4. Liability
4.1 MiCall Engineering Ltd is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
4.2 The Company ensures compliance with industry standards but is not responsible for delays or failures caused by external factors beyond its control.
5. Intellectual Property
5.1 All materials, designs, and documentation provided by MiCall Engineering Ltd remain the intellectual property of the Company unless explicitly transferred in writing.
5.2 Clients are prohibited from copying, modifying, or redistributing Company materials without prior consent.
6. Confidentiality
6.1 Both parties agree to keep confidential all proprietary or sensitive information disclosed during the course of business.
6.2 This obligation of confidentiality survives the termination of the agreement.
7. Termination
7.1 Either party may terminate the agreement with prior written notice of 14 days.
7.2 MiCall Engineering Ltd reserves the right to terminate services immediately if the Client breaches these Terms and Conditions.
8. Governing Law
8.1 These Terms and Conditions are governed by the laws of Papua New Guinea.
8.2 Any disputes arising from this agreement will be resolved through arbitration or as per the laws applicable in Papua New Guinea.
9. Amendments
9.1 MiCall Engineering Ltd reserves the right to modify these Terms and Conditions at any time.
9.2 Clients will be notified of any changes, and continued use of our services constitutes acceptance of the revised terms.
